Restoration


Once a company has been wound up or dissolved, ownership of its property becomes ‘bona vacantia’ and belongs to the Crown (S. 1012 CA 2006). In order to recover such property the company must be restored to the register, and only once this has been achieved can ownership be assigned in the manner originally intended. For the company to be restored, a court order for restoration from the High Court may be required, although a new procedure under the Companies Act 2006 is available to certain companies involving a simple application by a former director or member to the Registrar of Companies within 6 years of dissolution ("an administrative restoration").
